These terms and conditions of service apply to any service ordered from Ze Agency.
Article 1 — Purpose
These terms and conditions govern the contractual relationship between Ze Agency and its clients for the design, manufacture and installation of stands, the supply of POS displays and signage, and branding, space fit-out and event management services.
Article 2 — Quotes and confirmation
Every service is subject to a prior quote, drawn up on the basis of the brief provided by the client. The quote is valid for 30 days from its date of issue unless otherwise stated. The order is deemed firm upon receipt of the signed quote and, where applicable, payment of the agreed deposit.
Article 3 — 3D design and changes
An initial 3D design proposal is produced on the basis of the approved brief. Minor changes are included as part of the initial approval stage. Any substantial change after the final design has been approved, or during manufacture, may incur an additional cost and an adjustment to lead times.
Article 4 — Lead times
Manufacturing and installation lead times are given as an indication in the quote, based on the information available at that date. Ze Agency does everything in its power to meet them; however, exceptional circumstances (force majeure, venue constraints, late changes by the client) may affect them.
Article 5 — Prices and payment
Prices are stated in Moroccan dirhams (MAD). Unless otherwise agreed, a deposit is payable on order, with the balance due before or upon delivery/installation, in accordance with the terms set out in the quote.
Article 6 — Furniture rental
Rented furniture remains the property of Ze Agency. The client undertakes to use it normally for the duration of the event. Any damage found beyond normal wear and tear may be invoiced separately.
Article 7 — Installation and dismantling
Unless otherwise stated, installation and dismantling are carried out by Ze Agency's teams, according to the schedule agreed with the client and in compliance with the rules of the venue (trade show, fair, site).
Article 8 — Cancellation
Any cancellation of an order after the quote has been approved may result in invoicing for work already committed (design, materials ordered, manufacturing progress), according to a scale communicated on a case-by-case basis.
Article 9 — Intellectual property
Graphic creations and 3D designs produced by Ze Agency in the course of a service remain its intellectual property, unless expressly assigned in writing. The client has a right of use for the purposes of its project.
Article 10 — Liability
Ze Agency deploys the means necessary for the proper performance of its services. It cannot be held liable for damage resulting from improper use of the installations by the client or third parties, or from circumstances beyond its control.
Article 11 — Governing law and disputes
These terms and conditions are governed by Moroccan law. In the event of a dispute, the parties will endeavour to reach an amicable solution before any legal action, which shall fall within the jurisdiction of the courts of Meknes.
